Service Agreement Terms & Conditions

Thank you for considering me to design your wedding flowers! I look forward to the opportunity to create beautiful moments and memories that capture your joy, personalities, life and love through the floral designs and set up of your wedding celebration! The bride and groom (herein after collectively called ‘The Client’) hereby jointly retain Forever Wildfield to undertake wedding flower services at the times and locations, and for the rates, fees and charges, and in accordance with the terms and conditions noted below:

1. Service Package - as outlined in the “Flower Proposal” -

i) Forever Wildfield will provide the wedding flower designs & services at the rates, fees and charges hereinafter set out to The Client in the Flower Proposal

ii) All items on the Flower Proposal, contracted at the time of signing, can be modified within 15% less than the originally contracted quantities and total

iii) Any additions or changes to the types of flowers requested for any of the floral designs may result in a change in the price per item

iv) Any revisions to the Flower Proposal must occur thirty (30) days before the event date and must be in writing (email, text, pen & paper). Any revisions that are requested to the Flower Proposal less than thirty (30) days before the event date may not necessarily be approved and accommodated

v) Revision to the Flower Proposal is limited to one (1) revision from signing to the final details meeting (approximately thirty (30) – forty-five (45) days before the event date). Any additional revision and updated Flower Proposal requests will be subject to the fee of $100 / per revised Flower Proposal and added to balance owing

vi) The administrative fees (delivery, installation, labour, mileage, strike down, etc.) included on the Flower Proposal are only an estimate at the time of signing this service agreement. A final calculation of the administrative fees will be completed after the final details meeting has taken place and logistics of the day have been finalized by The Client and all other relevant vendors who may influence the delivery and schedule for the event day

2. Payment

The Client shall pay Forever Wildfield the following rates, fees and charges:

i) A 25% non-refundable retainer is required upon signing of this contract

ii) The remaining balance is due in FULL two (2) weeks prior to the event date. The balance owing will be calculated after the final details meeting and a final Flower Proposal has been provided to The Client

iii) Any additional fees incurred during the planning process, such as additional meeting time, mileage, scheduled site visits with The Client to the venue, flower mock ups, etc., will be discussed, quoted and invoiced to The Client for immediate payment upon completion

3. Payment Terms

The Client shall make payment in cash, email money transfer or cheque to Forever Wildfield. There will be a $75.00 fee for cheques rendered ‘NSF’, and interest of 1% per day on overdue accounts. An overdue account is considered as such if payment is not made by the “balance owing date” noted on the final Flower Proposal. The items and services outlined in the Flower Proposal will not be provided on the event date if the balance owing is not received before the event date. Credit card payments cannot be accepted at this time

4. Performance and Limit of Liability

i) The Client agrees to hold harmless Forever Wildfield for any error, non-performance, or change made by the services providers / vendors hired by The Client to perform at their wedding

ii) This contract shall be construed according to the laws of Ontario. The Client agrees that exclusive jurisdiction and venue for all claims of breach of this contract shall be in Toronto, Ontario

iii) Liability is limited to the total fee paid. The Client understands that Forever Wildfield will not enter into this agreement without this clause

iv) The performance of this contract on behalf of Forever Wildfield shall be contingent upon acts of God, flood, fire, warfare, sudden illness, injury, victim of crime, government laws or regulations, electrical failures, strikes by suppliers, mail delivery delays and lost packages, and/or conditions beyond Forever Wildfield’s control. As such, Forever Wildfield reserves the right to modify or change any event day installations, schedule, and set ups in accordance with the weather conditions. The Client must plan and provide an alternative “rain & wind plan” with the venue(s) and Forever Wildfield in advance of the event date. The Client understands that Forever Wildfield will not set up any installation if it is deemed unsafe or high risk on the event date

v) In the unlikely event of cancellation by Forever Wildfield (possibly due to severe medical, natural or other emergencies), it may be necessary to retain an alternative florist. Forever Wildfield will attempt to secure a replacement to provide a similar package as chosen in this contract at the same tariff. If such a situation should occur and a suitable replacement is not found, responsibility and liability is limited to the return of all payments received

vi) Forever Wildfield reserves the right to make substitutions in the event specific flowers are not available or if the quality received is not suitable. In this event, the integrity of the proposed color scheme and style will be maintained and flowers of equivalent value will be used

vii) Should The Client choose to return rental items themselves and forego a breakdown fee, all rentals are to be returned within five (5) business days after the event in original condition. If rental items are broken or not returned within the five (5) business days after the event, full replacement value will be charged to The Client and payment due within ten (10) business days after the event.

viii) It is understood that Forever Wildfield will act as the sole and exclusive florist for your wedding. By signing this service agreement, The Client agrees that no other person or company, professional or otherwise, shall provide fresh or artificial flower products for The Client’s wedding unless approved in advance

ix) While Forever Wildfield will pursue and design your wedding flowers with the best industry practices, Forever Wildfield cannot guarantee the lifespan of the flowers once delivered given their nature as a perishable product. Forever Wildfield is released of any liability to the life and quality of the flowers after delivery and set up is completed. This includes, but is not limited to, bouquets, boutonnieres, corsages, flower crowns, garlands, ceremony arbour flowers, and all flower arrangements

5. Retainer and Cancellation

i) Upon your signature, Forever Wildfield will reserve the time and date agreed upon

ii) All monies paid to Forever Wildfield shall be retained as liquidated damages to compensate for time spent and costs incurred by Forever Wildfield preparing for the wedding date and economic losses from declining and/or not soliciting other business on the wedding date

iii) In the event The Client cancels the contracted services as outlined in the Flower Proposal more than forty-five (45) days before the event date, for any reason, only the 25% retainer is forfeited and no further payment is due. In the event The Client cancels the contracted services as outlined in the Flower Proposal less than forty-five (45) days before the event date, for any reason, the remaining balance / entire full payment is due

iv) If the date of the wedding changes and Forever Wildfield is not available for the revised date, for any reason, the entire 25% retainer will be forfeited. If Forever Wildfield is available for the revised date, the terms and conditions of this service agreement & the Flower Proposal will continue and incorporate the revised date

6. Final Details Meeting

The parties agree to a final details consultation, via email, online or phone, between thirty (30) days and forty-five (45) prior to the event date in order to finalize all contracted details. Upon completion of the final details meeting, an updated the Flower Proposal will be provided to The Client for initialing and approval, along with the updated balance owing

7. Model Release

Forever Wildfield may use photos taken on the wedding day, including photos of their likeness, in all forms of media for advertising, portfolio, website, blog and print. The Client understands they are entitled to no compensation and release Forever Wildfield from all forms of claims and liability related to their photo usage. Forever Wildfield may contact the photographer directly in order to receive the images in full for promotional and portfolio purposes

8. Communications

i) Unlimited email is provided between The Client and Forever Wildfield. Response times will vary, depending on volume & time of the year, but generally responses are given in 2-5 business days

ii) Communications will take place between regular business hours, Monday – Thursday, 10 AM - 5 PM
